OVERVIEW
Welcome to Weebe! Weebe is a marketplace platform operated by Elevate Digital SAL. For the purposes of these Terms, “Weebe”, “Platform”, “we”, “us” and “our” refer to Elevate Digital SAL operating the Weebe marketplace platform.
Weebe operates the Platform as a marketplace intermediary connecting buyers and sellers, including all related information, content, features, tools, products and services to provide you, the customer, with a curated shopping experience (the “Services”). Weebe is powered by Shopify, which enables us to provide the Services to you.
These terms and conditions, together with any policies referenced herein (the “Terms of Service” or “Terms”) describe your rights and responsibilities when you use the Services.
“Seller” means a third-party merchant offering products on the Platform. “Buyer/User” means any customer or visitor using the Services.
Please read these Terms carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.
By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy (Appendix I) [LINK]. If you do not agree to these Terms or the Privacy Policy, you should not use or access our Services.
SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms, you represent that you are at least the age of majority in your jurisdiction of residence, and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase, or manage.
To use the Services (including browsing, accessing and purchasing), you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current, and complete and that you have all rights necessary to provide such information.
You are solely responsible for maintaining the security of your account credentials and for all of your account activity. You may not transfer, sell, assign, or license your account to any other person.
You must promptly notify Weebe of any suspected unauthorized access or security breach relating to your account.
SECTION 2 - OUR PRODUCTS
We have made every effort to provide an accurate representation of our products and services on the Platform. However, please note that colors or product appearance may differ from how they may appear on your screen due to the type of device you use to access the store and your device settings and configuration.
We do not warrant that the appearance or quality of any products or services purchased by you will meet your expectations or be the same as depicted or rendered on the Platform.
We do not guarantee the accuracy of Seller content and are not responsible for it except where required by applicable law.
All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region or jurisdiction, on a case-by-case basis.
Product listings, descriptions, and claims are provided by Sellers; Weebe does not guarantee their accuracy and is not responsible for them, except where required by law.
We may restrict account features (including Wallet, COD, promotions, checkout, or returns) where reasonably necessary for fraud prevention, compliance, or platform integrity, subject to applicable law.
SECTION 3 - ORDERS
When you place an order on the Platform, you are making an offer to purchase products from the relevant Seller.
Acceptance of an order occurs when the Seller confirms the order for fulfillment through the Platform and the Platform confirms that payment (where applicable) has been authorized or received.
An order confirmation email or on-screen confirmation does not mean the Seller has accepted your order. Until acceptance, the Seller may decline or cancel the order.
The Platform reserves the right to cancel, suspend, or refuse any order where it reasonably believes this is necessary for fraud prevention, compliance, security, operational reasons, or to protect the Platform and its users. Please review your order carefully before submitting, as cancellation may not be possible after an order is accepted.
In the event that we do not accept, make a change to, or cancel an order, we will attempt to notify you by contacting the e-mail, billing address, and/or phone number provided at the time the order was made.
The contract of sale for a product is between the Buyer and the relevant Seller, and the Seller is responsible for fulfilling the order and providing any statutory warranties, except to the extent Weebe is required to act under applicable law.
If payment authorization fails or is reversed, the order may be cancelled even after Seller confirmation.
3.1 Returns & Exchanges
Purchases made on the Platform are subject exclusively to the Return & Exchange Policy (Appendix C), which forms an integral part of these Terms.
Except where mandatory law requires otherwise, change of mind or non-defective reasons do not create a right to a refund.
Policy-compliant refusal of a return or exchange shall not constitute merchant non-performance.
3.2 Refunds
Approved refunds may be issued as Weebe Wallet credit, unless:
- A refund to the original payment method is required by applicable law, or
- Weebe determines otherwise based on payment method or operational constraints.
Weebe may facilitate refunds or Wallet credits as a marketplace service, including on behalf of Sellers, without becoming the seller of record or assuming Seller obligations, except where required by applicable law.
Details are outlined in the Return & Exchange Policy (Appendix C).
3.3 Weebe Wallet
Weebe wallet credit, if issued:
- Is non-transferable and account-specific;
- Is non-interest bearing,
- Is not a bank or stored-value account.
Wallet credit may be reversed or adjusted where it was issued in error, where the underlying transaction is reversed (including chargeback), or where Weebe reasonably suspects fraud or misuse, subject to applicable law.
Wallet credit may be used only for purchases on the Platform and is not redeemable for cash except where required by applicable law.
Wallet credit has no cash value, does not accrue interest, and is not a regulated deposit or e-money product, except where applicable law provides otherwise.
You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.
Wallet terms, conditions, eligibility, redemption scope, and limitations are governed exclusively by the Wallet Policy (Appendix H) and, for refund decisions, the Return & Exchange Policy (Appendix C), subject to mandatory law.
3.4 Checkout & Payment
The Platform supports multiple payment methods, which may include cash on delivery, credit cards, debit cards, digital wallets, and any other payment methods made available by the Platform from time to time.
The availability of specific payment methods may vary depending on the user’s location, order value, Seller, or other operational factors. The Platform reserves the right to add, remove, or modify supported payment methods at any time without prior notice.
If a Buyer initiates a chargeback or payment dispute, Weebe may request information, temporarily suspend the account or related orders, and process the matter in accordance with the Return & Exchange Policy (Appendix C) [LINK] and applicable law. Where fraud or misuse is reasonably suspected, Weebe may cancel orders, reverse Wallet credits, and restrict payment methods.
Payments may be processed by third-party payment service providers; their terms may apply in addition to these Terms.
3.5 Right to refuse service / limit quantities / cancel suspicious orders
The Platform may limit quantities, restrict purchases, or refuse service to any user where reasonably necessary for fraud prevention, compliance, operational integrity, or to protect the Platform and its users, subject to applicable law.
SECTION 4 - PRICES AND BILLING
Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless expressly stated, posted prices do not include taxes, shipping, handling, customs, or import charges.
Prices posted in our online stores may be different from prices offered in physical stores or in online or other stores operated by third parties. We may offer, from time to time, promotions on the Services that may affect pricing and that are governed by terms and conditions separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.
You agree to provide current, complete and accurate purchase, payment and account information for all purchases made at our platform. You agree to promptly update your account and other information, including your email address, credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.
You represent and warrant that:
(i) the payment information you provide is true, correct, and complete,
(ii) you are authorized to use the payment method,
(iii) charges incurred will be honored by your payment provider, and
(iv) you will pay charges incurred at posted prices, including shipping/handling and applicable taxes, if any.
For cash on delivery orders, repeated refusal to accept delivery without valid reason may result in reasonable account restrictions (e.g., disabling COD, requiring prepayment, limiting order value), subject to applicable law.
Fees, commissions, deductions, and settlement terms applicable to Sellers are governed by the Seller Agreement and Commission & Fees Policy (Appendix A) [LINK].
SECTION 5 - SHIPPING & DELIVERY
Delivery fees are displayed at checkout and may vary. The Platform is not responsible for courier pricing, delays, or failed delivery attempts. All delivery times are estimates only and are not guaranteed.
The Platform is not liable for shipping or delivery delays caused by shipping carriers, customs processing, or events outside its reasonable control.
Risk transfers upon successful delivery to the address provided by the Buyer, unless required otherwise by applicable law.
Buyers are responsible for providing accurate delivery details and being available to receive deliveries. Failed delivery attempts due to incorrect information or unavailability may result in re-delivery fees, order cancellation, or account restrictions (including COD limitations), subject to applicable law.
SECTION 6 - INTELLECTUAL PROPERTY
Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by Weebe, its affiliates or licensors and are protected by applicable intellectual property laws.
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent.
Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of Weebe, Shopify or any third party.
Unauthorized use of the Services may be a violation of applicable intellectual property laws. All rights not expressly granted herein are reserved by Weebe.
Weebe’s names, logos, product and service names, designs, and slogans are trademarks of Weebe or its affiliates or licensors. You must not use such trademarks without the prior written permission of Weebe. Shopify’s name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
Sellers retain ownership of their content. By uploading content to the Platform, Sellers grant the Platform a non-exclusive, worldwide, royalty-free license to host, display, reproduce, modify (for formatting only), and distribute such content for the operation and promotion of the Platform.
SECTION 7 - OPTIONAL TOOLS
You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new features through the Services (including the release of new tools and resources). Such new features shall also be deemed part of the Services and are subject to these Terms of Service.
SECTION 8 - THIRD-PARTY LINKS
The Services may contain materials and hyperlinks to websites provided or operated by third parties (including any embedded third party functionality). We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you choose to access. If you decide to leave the Services to access these materials or third party sites, you do so at your own risk.
We are not liable for any harm or damages related to your access of any third-party websites, or your purchase or use of any products, services, resources, or content on any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products and services should be directed to the third-party.
SECTION 9 - RELATIONSHIP WITH SHOPIFY
Marketplace Disclaimer – Intermediary Only
The Platform acts solely as an intermediary providing technical and marketplace services and is not a party to any contract of sale between buyers and sellers.
Weebe does not assume responsibility for product authenticity, quality, or fitness, except to the extent required by applicable law or expressly stated in Platform policies.
The Platform does not manufacture, sell, resell, or distribute products and does not assume any responsibility for the quality, safety, legality, authenticity, description, pricing, or delivery of any products offered by Sellers.
The Platform does not guarantee and shall not be responsible for the performance, conduct, availability, pricing accuracy, fulfillment, or service levels of any Seller. All obligations relating to product delivery, warranties, customer service, returns, refunds, and after-sales support remain the sole responsibility of the Seller.
Weebe is powered by Shopify, which enables us to provide the Services to you. Shopify is not a merchant, seller, or marketplace operator in relation to the Platform. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Weebe, including any injury, damage, or loss resulting from purchased products and services. To the fullest extent permitted by applicable law, you acknowledge and agree that Shopify is not responsible for transactions conducted through the Platform, and you release Shopify and its affiliates from claims arising from your transactions conducted through the Platform.
Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between the Platform and any Seller or user. Sellers have no authority to bind or represent the Platform.
Sellers are solely responsible for ensuring that their products comply with all applicable laws, regulations, labeling, safety, import/export, and consumer protection requirements.
9.1 Seller of Record
Each Seller is the seller of record for products sold through the Platform and is solely responsible for issuing any invoice/receipt, complying with applicable consumer/product laws, and handling statutory warranties (if any) and product liability claims, except where the Platform is required to act under applicable law.
Where an invoice/receipt is required, it is issued by the Seller as seller of record. Any tax treatment (including VAT where applicable) is determined by the Seller, subject to applicable law.
SECTION 10 - PRIVACY POLICY
All personal information we collect through the Services is subject to our Privacy Policy, which can be viewed here [LINK], and certain personal information may be subject to Shopify’s Privacy Policy, which can be viewed here [LINK]. By using the Services, you acknowledge that you have read these privacy policies.
Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services for you. Information you submit to the Services will be transmitted to and shared with Shopify as well as third parties that may be located in other countries than where you reside, in order to provide services to you. Review our privacy policy (Appendix I) [LINK] for more details on how we, Shopify, and our partners use your personal information.
To enable order fulfillment and customer support, we may share necessary buyer information (e.g., name, phone, address, order details) with the relevant Seller and delivery partners.
SECTION 11 - FEEDBACK & USER CONTENT
11.1 FEEDBACK
If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, or other content (collectively, “Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including for commercial use. We may, for example, use our rights under this license to operate, provide, evaluate, enhance, improve and promote the Services and to perform our obligations and exercise our rights under the Terms of Service.
You also represent and warrant that: (i) you own or have all necessary rights to all Feedback; (ii) you have disclosed any compensation or incentives received in connection with your submission of Feedback; and (iii) your Feedback will comply with these Terms. We are and shall be under no obligation (1) to maintain your Feedback in confidence; (2) to pay compensation for your Feedback; or (3) to respond to your Feedback.
We may, but have no obligation to, monitor, edit or remove Feedback that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
You agree that your Feedback will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your Feedback will not contain libelous or otherwise unlawful, abusive or obscene Feedback, or contain any computer virus or other malware that could in any way affect the operation of the Services or any related website. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any Feedback. You are solely responsible for any Feedback you make and its accuracy. We take no responsibility and assume no liability for any Feedback posted by you or any third-party.
This license is irrevocable to the maximum extent permitted by applicable law.
11.2 User Content (Reviews, Ratings, Q&A)
Users may submit reviews, ratings, comments, images, or other content (“User Content”). By submitting User Content, you grant Weebe a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, publish, display, and distribute such User Content in connection with operating and promoting the Platform. Weebe may remove or disable access to User Content at any time where it reasonably believes the content violates these Terms, Platform policies, or applicable law. We do not guarantee the accuracy of User Content and are not responsible for it, to the fullest extent permitted by law.
Users must not submit misleading, fraudulent, or incentivized reviews without clear disclosure. Weebe may remove such content and restrict accounts where it reasonably believes manipulation occurred.
SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS
Occasionally there may be information on or in the Services that contain typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order). If a product is listed at an incorrect price, the Platform and/or Seller may cancel the order and refund any amounts paid, subject to applicable law.
SECTION 13 - PROHIBITED USES
You may access and use the Services for lawful purposes only. You may not access or use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any international, applicable regulations, rules, laws, or local ordinances; (c) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or harm any of our employees or any other person; (e) to transmit false or misleading information; (f) to send, knowingly receive, upload, download, use, or re-use any material that does not comply with these Terms; (g) to transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation; (h) to impersonate or attempt to impersonate any other person or entity; or (i) to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Weebe, Shopify or users of the Services, or expose them to liability.
In addition, you agree not to: (a) upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, sell, resell or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, pretext, spider, crawl, or scrape; or (e) interfere with or circumvent the security features of the Services or any related website, other websites, or the Internet. We reserve the right to suspend, disable, or terminate your account at any time, without notice, if we determine that you have violated any part of these Terms.
You may not use the Services in violation of applicable export control, sanctions, or trade compliance laws.
Buyers must not attempt to purchase products that are prohibited or restricted by law or Platform policy.
SECTION 14 - TERMINATION
14.1 Immediate Suspension for Risk or Abuse
The Platform may immediately suspend or terminate access to the Platform, without liability, where it reasonably believes that a user’s conduct may cause harm, legal exposure, fraud, abuse, or disruption to the Platform or other users.
Weebe may restrict features (including Wallet, COD, promotions, or checkout access) where reasonably necessary to prevent fraud, abuse, policy violations, or legal exposure.
14.2 Termination
We may terminate this agreement or your access to the Services (or any part thereof) in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.
The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.
SECTION 15 - DISCLAIMER OF WARRANTIES
15.1 Force Majeure
The Platform shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including acts of God, war, governmental actions, strikes, system failures, network outages, utility interruptions, or natural disasters.
The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Services, or by anyone who may be informed of any of its contents.
Except as expressly stated by Weebe, the Services and all products offered through the Services are provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement. We do not guarantee, represent or warrant that your use of the Services will be uninterrupted, timely, secure or error-free. Some jurisdictions limit or do not allow the disclaimer of implied or other warranties so the above disclaimer may not apply to you.
Content available on the Platform is provided for general informational purposes only and does not constitute professional, medical, legal, or regulatory advice. Users should seek independent professional advice where appropriate.
15.2 No Guarantee of Visibility or Ranking
Weebe does not guarantee product visibility, search ranking, featured placement, or promotional exposure. Search results, rankings, and recommendations are determined by automated systems and business rules and may change at any time without notice.
15.3 Platform Availability
The Platform may be unavailable from time to time due to maintenance, upgrades, system failures, or circumstances beyond our reasonable control. We do not guarantee uninterrupted or continuous access to the Services and shall not be liable for any interruption, suspension, or discontinuation of any part of the Platform.
SECTION 16 - LIMITATION OF LIABILITY
To the fullest extent provided by law, in no case shall Weebe, our partners, directors, officers, employees, affiliates, agents, contractors, service providers or licensors, be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Services or any products procured using the Services, or for any other claim related in any way to your use of the Services or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Services or any content (or product) posted, transmitted, or otherwise made available via the Services, even if advised of their possibility.
16.1 Consumer Rights
Nothing in these Terms limits any consumer rights that cannot be excluded under applicable Lebanese law. Consumer protection rules apply to e-commerce transactions to the extent applicable.
SECTION 17 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless Weebe, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable attorneys’ fees, payable to any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.
We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You will cooperate in the defense of indemnified claims, including by providing relevant documents.
17.1 Seller-Specific Indemnity
The Seller shall indemnify, defend, and hold harmless the Platform, its affiliates, directors, officers, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to the Seller’s products, conduct, content, or breach of these Terms or applicable law.
SECTION 18 - BUYER DISPUTE RESOLUTION (MARKETPLACE MODEL)
In the event of a dispute between a buyer and a seller relating to a transaction conducted on the Platform, the Platform acts solely as an intermediary and is not a party to the transaction.
Buyers are encouraged to first contact the seller directly through the Platform to attempt resolution.
Where a dispute remains unresolved, the Platform may, at its discretion, facilitate communication, review information submitted by the parties, or apply the Platform’s Return & Exchange Policy or other applicable policies.
The Platform does not guarantee resolution outcomes and shall not be responsible for seller actions, product quality, delivery, or refund decisions, except as required by applicable law.
The Platform reserves the right to take appropriate action against sellers, including suspension or termination, where disputes indicate policy violations, fraud, or systemic issues.
Any facilitation or intervention by the Platform does not create an obligation to resolve disputes or assume Seller liabilities, except where required by applicable law.
18.1 Complaints, Illegal Content & Takedown
We may remove listings/content, suspend Sellers, or restrict access if we reasonably believe a listing/product/content is unlawful, infringes third-party rights, is unsafe, or violates Platform policies. To submit a complaint (IP infringement, counterfeit, unsafe product, illegal content), contact: support@weebe.co. We may request supporting documents and may share the complaint with the Seller for resolution. We may share complaint details with the relevant Seller, service providers, and/or authorities where reasonably necessary to investigate and resolve the complaint.
18.2 Fraud Prevention & Verification
We may request additional verification (e.g., ID, proof of address, payment verification) and may cancel or suspend orders/accounts where we reasonably suspect fraud, unauthorized payment use, or policy violations. Where permitted, we may place holds on transactions/payouts pending investigation.
18.3 Prohibited and Restricted Products
Sellers must not list or sell counterfeit goods, unsafe products, recalled items, or any products prohibited or restricted by applicable law or Platform policies. Weebe may remove listings, cancel orders, suspend accounts, or report matters to authorities where reasonably necessary. Additional restrictions may apply under the Restricted Products Policy (Appendix E) [LINK].
18.4 Product Safety & Recalls
Sellers must cooperate with product safety notices and recalls. Weebe may notify Buyers about safety or recall issues and may remove listings where reasonably necessary.
SECTION 19 - SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.
SECTION 20 - WAIVER; ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on this site or in respect of the Service constitute the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.
20.1 Language and Interpretation
In the event of any translation or interpretation inconsistency, the English version of these Terms shall prevail.
SECTION 21 - ASSIGNMENT
You may not delegate, transfer or assign this Agreement or any of your rights or obligations under these Terms without our prior written consent, and any such attempt will be null and void. We may transfer, assign, or delegate these Terms and our rights and obligations without consent or notice to you.
SECTION 22 - GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the Republic of Lebanon. The courts of Beirut shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms. You and Weebe consent to venue and personal jurisdiction in such courts.
SECTION 23 - HEADINGS
The headings used in this agreement are included for convenience only and do not affect interpretation and will not limit or otherwise affect these Terms.
SECTION 24 - CHANGES TO TERMS OF SERVICE
You can review the most current version of the Terms of Service at any time on this page. We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. We will notify you of any material changes to these Terms in accordance with applicable law, and such changes will be effective on the date specified in the notice. Your continued use of or access to the Services following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
Weebe may modify, suspend, or discontinue any feature, functionality, or aspect of the Platform at any time, including eligibility criteria, tools, or user interfaces, without liability, subject to applicable law.
24.1 Policy Updates
Weebe may update policies from time to time.
Where required by applicable law, Sellers or Buyers will be notified of material changes before they take effect.
Continued use of the Platform after the effective date constitutes acceptance of the updated policies, unless re-acceptance is legally required.
24.2 Electronic Communications and Notices
You agree that Weebe may provide notices, disclosures, and communications electronically (including via email, SMS, WhatsApp, in-app messages, or posting on the Platform). Such communications satisfy any legal requirement that communications be in writing, to the extent permitted by applicable law.
24.3 Electronic Records and Evidence
You agree that electronic records (including order confirmations, delivery confirmations, and account logs) may be used as evidence of transactions and communications, subject to applicable law.
By clicking ‘Accept’, creating an account, or placing an order, you agree that your electronic acceptance constitutes a valid signature to the extent permitted under Lebanese Law No. 81/2018.
SECTION 25 – INCORPORATION OF PLATFORM POLICIES
These Terms of Service incorporate by reference all policies, rules, and guidelines published by WEEBE from time to time, including without limitation the Seller Agreement, Seller Commission & Fees Policy, Delivery & Fulfillment Policy, Return & Exchange Policy, Product & Listing Rules, Restricted Products Policy, Seller Code of Conduct, Wallet Policy, Privacy Policy, and any applicable Commercial Schedules (collectively, the “Platform Policies”).
The Platform Policies form an integral part of these Terms and are binding on all Users in accordance with their stated applicability. In the event of any inconsistency, mandatory provisions of applicable law shall prevail, followed by these Terms of Service, then the Seller Agreement (where applicable), and thereafter the relevant Platform Policy.
Continued access to or use of the Platform constitutes acceptance of the Platform Policies as updated from time to time, subject to mandatory legal requirements under the laws of the Republic of Lebanon.
